2. Scope and acceptance
These Terms apply to any order of Templates placed on the Site by:
- businesses (hereinafter "Business Customer"), and
- secondarily, consumers (hereinafter "Consumer Customer") within the meaning of the French Consumer Code.
By confirming their order, the Customer acknowledges having read these Terms and accepts them without reservation.
The applicable Terms are those in force on the date of the order.
Any conflicting condition set by the Customer (including purchasing conditions) is unenforceable against the Seller, unless the Seller accepts it in writing.
3. Definitions
- Template: any model, component, code, script, configuration, file, resource, or documentation delivered in digital form.
- Digital content: content supplied in intangible form.
- End Client: an indirect client of a Business Customer who receives a deliverable that includes the Template.
4. Products and pre-contractual information
The Templates offered are described on the Site (features, prerequisites, deliverables, format, any limitations, price).
The Customer acknowledges:
- having checked that the Template suits their needs,
- understanding that a Template is a reusable base that may require integration or configuration,
- that the Seller does not provide custom services unless expressly stated (special terms).
Visuals, examples, and demonstrations are for illustration only.
5. Access conditions, technical prerequisites, and responsibility for deployment
The Templates involve prerequisites (environment, skills, dependencies, software versions, access rights, etc.), which may be listed on the product pages.
The Customer is solely responsible for:
- checking compatibility with their environment,
- installation, integration, configuration, security, and operation,
- their ability to deploy the solution purchased (technical resources, third-party licenses, hosting, rights, internal compliance).
The Seller is not responsible for malfunctions caused by a non-compliant environment, by changes made by the Customer, or by uses not provided for in the documentation or description.
6. Ordering
6.1 Process
Orders are placed online and include, in particular:
- selecting the Template(s),
- reviewing the cart,
- entering the required information (including billing),
- accepting these Terms,
- payment,
- provision of access (link / download / Account).
6.2 Confirmation
The order is final once payment is confirmed.
The Seller reserves the right to refuse or cancel an order in the event of suspected fraud, a payment incident, or a breach of these Terms.
6.3 Evidence
The computer records of the Seller and/or its service providers (including Stripe) constitute evidence of transactions, unless proven otherwise.
7. Prices, taxes, and invoicing
Prices are shown on the Site in euros, excluding VAT.
VAT may apply depending on the Customer's location, in accordance with applicable regulations.
An invoice is provided by email.
8. Payment
8.1 Payment methods
Payment is made mainly through Stripe (bank card).
8.2 Payment in full
Unless otherwise stated, payment is due in full at the time of the order.
8.3 Installment or monthly payment
For some offers, the Seller may offer payment in several installments (monthly) by card through Stripe. The terms (number of installments, schedule, any fees) are shown at the time of purchase.
In the event of non-payment (rejected payment, stopped payment, expired card), the Seller may:
- suspend access to the content or to the Account,
- require immediate payment of the balance,
- refuse any new order.
9. Digital delivery and immediate access
The Templates are supplied as digital content.
Unless otherwise stated, access is provided immediately after payment, through a download link and/or access to the Account.
The Customer should download and keep the files as soon as they are made available. The Seller does not guarantee that links will remain available indefinitely, in particular in the event of maintenance, technical updates, or incidents.
10. No updates or upgrades
Unless expressly stated otherwise on a product page or in a specific offer, the Seller guarantees no updates, upgrades, future compatibility, or corrective maintenance beyond the Template's conformity with its description at the time of purchase.
11. Right of withdrawal (Consumer Customers, B2C)
11.1 Principle
Consumer Customers in principle have a 14-day right of withdrawal.
11.2 "Digital content" exception and waiver
In accordance with the French Consumer Code, when a Consumer Customer requests immediate access to digital content before the end of the withdrawal period, they may lose their right of withdrawal if:
- performance (access or download) has begun, and
- the Customer gave their prior express consent, and
- the Customer acknowledged that they lose their right of withdrawal.
11.3 Business Customers
The right of withdrawal does not apply to Business Customers.
12. No-refund policy
Because the Templates are digital (and can be copied), no refund is granted once access has been provided, except in the event of a proven defect that makes the Template substantially non-conforming to its description and that, where applicable, has not been corrected within a reasonable time.
13. License and intellectual property
13.1 Ownership
The Templates and all associated elements (code, structure, documentation, trademarks, content, visuals) are protected. The Seller retains the intellectual property rights, unless otherwise stated.
The purchase grants a license to use, not a transfer of ownership.
13.2 Standard license
Unless otherwise stated on the product page, the Seller grants the Customer a license that is:
- non-exclusive,
- non-transferable (except for the agency case below),
- valid worldwide,
- granted for the legal term of protection of the rights,
- for the purposes of internal use and integration into a project.
Use permitted by default:
- the Customer's internal use (for its own needs), and
- for a Business Customer (agency or integrator): use of the Template to deliver one (1) project for one (1) End Client.
For any multi-client use, the Customer must contact BI Template to obtain an extended authorization or license: emilien@datapilot.fr.
13.3 Prohibited uses
Without the Seller's prior written permission, it is strictly prohibited to:
- resell, rent, lend, assign, redistribute, or make available all or part of the Template as a standalone product,
- publish the Template (or a substantial part of it) on a marketplace, public repository, download site, public repo, forum, bundle, or pack,
- build a competing offer from the Seller's Templates,
- allow a third party to extract the Template in order to use it independently.
13.4 Agencies and integrators (controlled resale)
A Business Customer may invoice its End Client for a service that includes a Template, provided that:
- the Template is integrated into a broader service or deliverable (development, configuration, integration, etc.),
- the End Client does not receive the "source" Template as a standalone product intended to be reused or resold,
- access to the sources is limited to what is strictly necessary, and protected.
13.5 Rights notices
The Customer agrees not to remove the rights notices (copyright, notices, headers) contained in the Templates.
14. Lawful use and compliance
The Customer agrees to use the Templates for lawful purposes and in compliance with laws and regulations (security, personal data, intellectual property, etc.).
The Seller cannot be held liable for any illegal, improper, or non-compliant use by the Customer.
15. Support
Unless otherwise stated on the Site, the Seller offers no included support other than reasonable assistance related to:
- access and download,
- a general understanding of the deliverables, based on the documentation provided.
Any request for intervention, adaptation, integration, or custom development may be subject to a quote and special terms.
16. Legal warranties
The Templates are supplied in accordance with their description. The Customer remains responsible for their own validations and tests, and for the fit with their needs, in particular in a production environment.
17. Liability and limitations
The Seller cannot be held liable for:
- damage resulting from misuse, integration, configuration, or modification by the Customer,
- incompatibilities caused by a Customer environment that does not meet the prerequisites,
- indirect damage (loss of revenue, loss of data, commercial harm, etc.), to the extent permitted by law.
The Seller's liability for an order is limited to the amount actually paid by the Customer for the Template concerned over the 6 months following the order date.
18. Force majeure
Neither party can be held liable for a failure caused by a force majeure event within the meaning of French case law (including major network outages, incidents at hosting providers or platforms, etc.).
19. Personal data
Personal data is processed in accordance with the Privacy Policy.
Payment involves the processing of data by Stripe, as payment service provider.
20. Complaints
Any complaint must be sent to emilien@datapilot.fr, stating:
- first and last name, or company name,
- order reference,
- a description of the problem and any useful information.
21. Governing law and jurisdiction
These Terms are governed by French law.
- Business Customer (B2B): any dispute relating to the validity, interpretation, or performance of these Terms falls under the exclusive jurisdiction of the courts of Paris, unless a mandatory rule provides otherwise.
- Consumer Customer (B2C): jurisdiction is determined by the applicable legal rules.
22. Changes to these Terms
The Seller may change these Terms at any time. The applicable Terms are those in force at the time of the order.
23. Severability
If any provision of these Terms is held void or unenforceable, the other provisions remain in force.
